Terms & Conditions

Please read these terms carefully before using the Appshipping platform.

1. Overview

Appshipping is a platform operated by MoaIT ("we", "us", "our") that connects sales agents ("Sellers") with mobile app development services. These Terms & Conditions govern the relationship between Appshipping and all parties who use the platform, including Sellers and third-party developers ("Publishers").

By applying to or using the Appshipping platform, you agree to be bound by these Terms.

2. Partnership Agreement

Before any Seller may begin selling apps through the Appshipping platform, a formal Partnership Agreement must be signed between the Seller and MoaIT. This agreement is a binding contract that outlines:

No selling activity may take place before this contract is signed. Any deals made without a signed Partnership Agreement are not recognized by Appshipping and will not be honored.

3. Pricing Rules

3.1 Floor Prices

Each app listed on the Appshipping platform has a floor price — the minimum amount required to cover development, design, and delivery costs. Floor prices are set by MoaIT for our own apps. For third-party listed apps, the Publisher sets their own floor price and Appshipping adds a 10% platform markup to determine the listed floor price shown to sellers.

3.2 Minimum Markup

Sellers must sell every app for a minimum of $500 above the floor price (or the listed floor price for third-party apps). This ensures that every deal generates meaningful earnings for the Seller (minimum $250 per deal). Deals closed below this threshold will not be accepted.

3.3 No Price Cap

There is no maximum selling price. Sellers are free to negotiate the highest price the market will bear. Higher selling prices result in higher earnings for the Seller.

4. Revenue Split — MoaIT Apps

For apps built and owned by MoaIT, the revenue split is as follows:

Example: An app with a $2,000 floor price is sold for $5,000. MoaIT receives $2,000 (floor) + $1,500 (50% of $3,000 profit). The Seller receives $1,500 (50% of $3,000 profit).

5. Revenue Split — Third-Party Apps (Publishers)

For apps listed by third-party developers or agencies ("Publishers"), the revenue split works as follows:

Example: A Publisher sets their floor price at $3,000. Appshipping adds 10%, so the listed floor price becomes $3,300. The app is sold for $5,000. The Publisher receives $3,000 (their floor) + $850 (50% of $1,700 above listed floor) = $3,850. The Seller receives $850 (50% of $1,700 above listed floor). Appshipping receives $300 (the 10% platform fee).

Publishers set their own floor prices. Appshipping reserves the right to review and approve all listed apps and their floor prices to ensure quality and fair market pricing.

6. Payment Terms

This means Sellers start earning from the moment the deal is closed and the first client payment is received.

6.3 Payment Methods

Payment methods and bank details will be agreed upon in the Partnership Agreement. MoaIT will process Seller payments within 7 business days of receiving the corresponding client payment.

9. Intellectual Property

All app designs, code, and intellectual property created by MoaIT remain the property of MoaIT until full payment is received from the client. Upon full payment, the client receives a license to use the app. Source code ownership terms are defined in the client contract.

Sellers do not acquire any intellectual property rights to any apps, designs, or code through the Appshipping platform.

10. Confidentiality

Both parties agree to keep confidential all proprietary information, including but not limited to: floor prices, client information, revenue details, and business processes. This obligation survives the termination of the Partnership Agreement.

Either party may terminate the Partnership Agreement with 30 days written notice. Upon termination:

12. Limitation of Liability

MoaIT is not liable for any indirect, incidental, or consequential damages arising from the Seller's use of the Appshipping platform. MoaIT's total liability is limited to the amount of commissions owed to the Seller for completed deals.

13. Dispute Resolution

Any disputes arising from these Terms or the Partnership Agreement will first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, disputes will be subject to the jurisdiction agreed upon in the Partnership Agreement.

14. Modifications

MoaIT reserves the right to modify these Terms & Conditions at any time. Sellers will be notified of material changes via email at least 14 days before they take effect. Continued use of the platform after changes take effect constitutes acceptance of the modified terms.
